SUPERIOR PRODUCTS ACQUIRES TAGA MEDICAL
TECHNOLOGIES, INC. --- FORMS NEW MEDICAL DEVICE COMPANY
Cleveland, Ohio – December 16, 2005 –
Superior Products, Inc. is pleased to announce that is has entered
into a definitive agreement to acquire the assets of Taga Medical
Technologies, Inc. an Ohio based medical device research,
development and manufacturing firm specializing in homerespiratory
and sleep technologies, including the Velocity® CPAP humidifier
system, CPAP extension tubing, oxygen conserving technologies and
oxygen accessories. Superior has formed a new company, SP
Medical, LLC, which will combine Superior’s existing medical
products business with Taga.

MEDICAL’S INNOVATIVE RAFF-O2 OXYGEN CONSERVING TECHNOLOGY

reached an agreement to sell the rights to its newly developed
oxygen conserving device to Superior Products, Inc. of Cleveland,
Ohio. The Raff-O2 conserver is an innovative, pneumatic 3:1 oxygen
conserver designed for use with compressed oxygen cylinders (FDA
510(k) pending). The terms of the deal are confidential.

ACQUIRES CPAP METER FROM VALLEY INSPIRED PRODUCTS
Eastlake, Ohio – December 28, 2004 -
TAGA Medical Technologies, Inc has agreed to acquire all rights to
the “CPAP Meter” from Valley Inspired Products (VIP). The terms of
the deal have not been disclosed but both parties expect it to be
complete no later than January 24, 2005.
The CPAP Meter,
which was originally developed by VIP, is a continuous positive
airway pressure (CPAP) verification device designed to easily check
the pressure setting of home CPAP machines. The device operates in
the same manner as oxygen liter meters, which have been used for
many years to verify flows of oxygen from home oxygen delivery
systems. The CPAP Meter is easy to operate and can be used by home
medical equipment providers, sleep labs, physicians and patients.
TAGA Medical assisted with the final design and development of the
molded version of the device and has been the OEM manufacturer of
the CPAP Meter for several years.
“This deal is a

NEW CPAP TUBING

officially launched the manufacturing and distribution of its own,
proprietary line of nasal CPAP tubing.
The TAGA CPAP tubing is lightweight
with a helical wall design (often referred to as a smooth inner
bore) that prevents collapsing while insuring flexibility. This
design allows for a completely smooth internal wall that promotes
effective, unobstructed laminar airflow. The TAGA tubing is light
gray in color with a clear inner wall. It is made of the highest
quality materials and meets all necessary FDA guidelines for safety
and biocompatibility. The new tubing comes in five different length
configurations and is designed for use with all makes and models of
standard CPAP, bilevel, self-titrating CPAP devices, heated and
